Discrepancies between claimed credentials and verifiable public record
Adverse media, in any jurisdiction the individual has operated in

Corporate Structure

Beneficial ownership traced through every intermediate holding entity
Related-party transactions not fully disclosed in the data room
Offshore entities in the ownership chain, and the reason for their use
Prior corporate names, mergers, or restructurings not reflected in current filings

Counterparties & Supply Chain

Sanctions and watchlist screening on major customers and suppliers, not just the target
Concentration risk in undisclosed related-party suppliers
Court proceedings or insolvency risk at key counterparties

Digital & Reputational Exposure

Data breach or credential exposure history for the target company
Unresolved cyber incidents not disclosed in warranties
Social media and public statements by key individuals that create reputational risk
